1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Foresight Event Management, LLC doing business as Foresight Management Group ("FMG," "we," "us," or "our") governing your access to and use of the Foresight Connects platform (the "Platform").

By accessing, registering for, or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are accessing the Platform on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

If you do not agree to these Terms, you must not access or use the Platform.

2. Description of the Platform

Foresight Connects is a proprietary, role-based event management portal operated by FMG. The Platform is designed to support the planning, coordination, and execution of pharmaceutical, life sciences, and corporate meetings and events. Platform functionality includes, but is not limited to:

• Program creation, management, and tracking
• Speaker and healthcare professional (HCP) engagement and compliance management
• Attendee registration and logistics coordination
• Budget development, expense processing, and financial reconciliation
• Vendor management and procurement
• Virtual payment card issuance and tracking
• Checklist and task management
• Reporting, analytics, and post-event documentation
• Email template generation and communications management

The Platform is provided as a service tool in connection with FMG's client engagements and is not offered as a standalone software product to the general public.

3. User Accounts and Access

3.1 Account Creation

Access to the Platform requires an authorized user account. Accounts are created by FMG administrators or designated client administrators. You may not create an account without prior authorization.

3.2 Role-Based Access

The Platform operates on a role-based access control (RBAC) model. Your access to specific features, data, and functionality is determined by your assigned role. You may only access information and features authorized for your assigned role.

3.3 Account Security

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify FMG immediately at info@foresightmanagement.net if you suspect unauthorized access to or use of your account.

3.4 Accuracy of Information

You agree to provide accurate, current, and complete information during registration and throughout your use of the Platform. You are responsible for updating your information promptly if it changes.

4. Acceptable Use

You agree to use the Platform solely for its intended purpose of supporting authorized meeting and event management activities. You agree not to:

• Access or attempt to access data, features, or accounts not authorized for your role
• Share your login credentials with any other individual
• Use the Platform for any unlawful, fraudulent, or unauthorized purpose
• Attempt to reverse engineer, decompile, disassemble, or otherwise derive the source code of the Platform
• Introduce viruses, malware, or any other harmful code into the Platform
• Circumvent, disable, or interfere with any security features, including row-level security policies and role-based access controls
• Scrape, harvest, or systematically extract data from the Platform
• Use the Platform to transmit unsolicited communications or spam
• Use information obtained through the Platform for purposes unrelated to the authorized program or engagement

5. Healthcare Professional and Compliance Obligations

5.1 Sunshine Act Compliance

Speaker honoraria, travel reimbursements, meals, and other transfers of value processed through the Platform may be subject to reporting under the Physician Payments Sunshine Act (42 U.S.C. § 1320a-7h) and applicable state transparency laws. By accepting compensation through the Platform, you acknowledge that such payments may be reported to the Centers for Medicare and Medicaid Services (CMS) Open Payments database.

5.2 Attestation Requirements

Speakers and HCPs may be required to complete attestation forms, conflict of interest disclosures, and compliance certifications as a condition of participation. Failure to complete required attestations may result in suspension of participation or withholding of payment.

5.3 Accurate Credentialing

HCPs are responsible for providing accurate and current professional credentials, including NPI numbers, medical license information, and state licensure details. Misrepresentation of credentials is grounds for immediate removal from the Platform and any associated programs.

6. Intellectual Property

6.1 Platform Ownership

The Platform, including all software, code, design, interfaces, content, documentation, and related materials, is the exclusive property of Foresight Event Management, LLC. All rights not expressly granted in these Terms are reserved by FMG.

6.2 Limited License

Subject to your compliance with these Terms, FMG grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for its intended purpose and for the duration of your authorized engagement.

6.3 User Content

You retain ownership of any content you submit to the Platform (such as biographies, expense documentation, and uploaded files). By submitting content, you grant FMG a non-exclusive, royalty-free license to use, store, and process that content as necessary to operate the Platform and fulfill its obligations under applicable client agreements.

6.4 Trademarks

"Foresight Event Management," "Foresight Management Group," "Foresight Connects," the FMG logo, and all related names, marks, and designs are trademarks or service marks of Foresight Event Management, LLC. You may not use these marks without prior written consent.

7. Confidentiality

You acknowledge that your use of the Platform may expose you to confidential and proprietary information belonging to FMG, its clients, or other users. You agree to:

• Treat all information accessed through the Platform as confidential unless it is clearly designated as public
• Use confidential information solely for the purpose of fulfilling your role within the authorized program
• Not disclose confidential information to any third party without prior written authorization from FMG
• Return or destroy any confidential information upon termination of your access or upon request by FMG

8. Payment Terms

8.1 Speaker Compensation

Speaker honoraria and reimbursement amounts are established in individual speaker agreements or letters of engagement executed between the speaker and the sponsoring client. The Platform facilitates the processing of these payments but does not independently establish compensation terms.

8.2 Expense Submissions

Users who submit expenses through the Platform must provide accurate documentation, including receipts and supporting detail. FMG reserves the right to reject expense submissions that are incomplete, inaccurate, or not in compliance with program guidelines.

8.3 Virtual Payment Cards

Virtual payment cards (such as VPay) issued through the Platform are designated for specific program-related expenses only. Misuse of a virtual payment card, including use for personal expenses or unauthorized purchases, is a violation of these Terms and may result in immediate termination of access and pursuit of financial recovery.

9. Termination and Suspension

9.1 Termination by FMG

FMG may suspend or terminate your access to the Platform at any time, with or without cause, and with or without notice.

9.2 Effect of Termination

Upon termination, your right to access the Platform ceases immediately. FMG may retain your data as required by legal, regulatory, or contractual obligations as described in our Privacy Policy.

9.3 User-Initiated Deactivation

If you wish to deactivate your account, contact FMG at info@foresightmanagement.net. Deactivation does not affect data retained for compliance or legal purposes.

10. Disclaimers

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FMG DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL FMG, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE PLATFORM.

12. Indemnification

You agree to indemnify, defend, and hold harmless FMG and its officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses arising out of or related to: (a) your use of or access to the Platform; (b) your violation of these Terms; (c) your violation of any third-party right; or (d) any content you submit to the Platform.

13. Governing Law and Dispute Resolution

13.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New Jersey, without regard to its conflict of law provisions.

13.2 Dispute Resolution

Any dispute arising out of or relating to these Terms or the Platform shall first be subject to good faith negotiation between the parties. If the dispute cannot be resolved through negotiation within thirty (30) days, either party may pursue resolution through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, with the arbitration conducted in Burlington County, New Jersey.

13.3 Waiver of Jury Trial

TO THE EXTENT PERMITTED BY LAW, EACH PARTY WAIVES ANY RIGHT TO A JURY TRIAL IN CONNECTION WITH ANY DISPUTE ARISING UNDER OR RELATED TO THESE TERMS.

14. Modifications to Terms

FMG reserves the right to modify these Terms at any time. Material changes will be communicated to users through the Platform or via email. Your continued use of the Platform following notification of changes constitutes your acceptance of the revised Terms.

15. General Provisions

Entire Agreement. These Terms, together with the Privacy Policy and any applicable client service agreements, constitute the entire agreement between you and FMG with respect to the Platform.

Severability. If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

No Waiver. FMG's failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

Assignment. You may not assign or transfer your rights or obligations under these Terms without the prior written consent of FMG.

Force Majeure. FMG shall not be liable for any failure or delay in performance resulting from circumstances beyond its reasonable control, including natural disasters, pandemics, government actions, labor disputes, utility failures, or cyberattacks.
